Put the "Beyond the Seed" program to work by using the logo through a license to use the logo. The logo will help further the seed industry's message – Commitment, Innovation, Performance – to our customers, the growers. Once your company or organization has been given access to the logo, your designated representative will be provided with the password information to access the online communications toolkit.

	Beyond the Seed Logo License Agreement American Seed Trade Association 225 Reinekers Lane, Suite 650 • Alexandria, VA 22314-2875 By accepting the terms outlined below in Beyond the Seed Terms of Use Agreement (“Terms”), the individual (or company) (“You”) have entered into agreement with American Seed Trade Association ( “ASTA”). ASTA grants You the right to use the “BEYOND THE SEED” words and logo (“Mark”) pursuant to the Beyond the Seed Logo Use Guidelines and the terms and conditions below: 1. Your right to use the Mark is non-exclusive, non-transferable, and royalty-free. 2. You agree to use the Mark as outlined in the Beyond the Seed Logo Use Guidelines. 3. You acknowledge ASTA’s exclusive ownership of all right, title and interest in and to the Mark and agree that Your use of the Mark shall inure to the benefit of ASTA. You further agree that it will in no way dispute, impugn or attack the validity of the Mark or ASTA’s rights thereto. 4. You may continue to use the Mark unless and until (a) ASTA notifies You that you have breached this Agreement and You fail to cure the breach within thirty (30) days, or (b) ASTA determines that it will no longer sponsor the Mark. If Your license terminates due to Your breach, You shall immediately cease all use of the Mark. If the Agreement terminates due to ASTA’s decision to cease sponsoring the Mark, upon notice, You must cease use of the Mark on any new Materials, but may continue distributing Materials produced prior to the termination for a period of two (2) years following the date of such notice. You may cease use of the Mark at any time and need not provide ASTA notice. 5. You agree to notify ASTA immediately of any apparent infringement of the Mark by a third party, and ASTA shall determine the appropriate response to such allegation. 6. You agree to notify ASTA immediately of any written notice it receives from any third party that alleges that Your use of the Mark infringes such third party's trademark rights, and ASTA shall determine the appropriate response to such allegation. 7. You agree to indemnify and defend ASTA and hold ASTA harmless from and against any and all demands, claims, complaints, actions, causes of action, suits, proceedings, investigations, arbitrations, assessments, liabilities, settlements, costs, damages, losses and expenses (including, but not limited to, interest, penalties and attorneys’ fees) (collectively, “Claims”), asserted against, imposed upon, suffered or incurred by ASTA, directly or indirectly, by reason of or in connection with Your use of the Mark with the Goods, including but not limited to Claims relating to the quality or nature of the Goods on which You use the Mark or any Claim relating to a perceived endorsement or certification of the Goods or of You by ASTA.
